Notice of Extraordinary General Meeting
To all members of St. Stephen’s College Alumni Association, all alumni of St. Stephen’s College and all alumni of St. Stephen’s College Preparatory School.
NOTICE is hereby given THAT an Extraordinary General Meeting of the St. Stephen’s College Alumni Association will be held on THURSDAY 14 JUNE 2012 at 7:00pm (Registration from 6:30pm – 7:00pm) at King’s Cuisine Restaurant, 6/F., Windsor House, 311 Gloucester Road, Causeway Bay, Hong Kong for the purpose of considering, and if thought fit, to pass the following resolutions :
- That St. Stephen’s College Alumni Association be incorporated by forming a company limited by guarantee to be known as St. Stephen’s College Alumni Association Limited to take over all the assets, liabilities and undertakings of St. Stephen’s College Alumni Association.
- That St. Stephen’s College Alumni Association Limited be formed with the Memorandum and Articles of Association of Association as appears in Annex 1, alternatively Annex 2, alternatively Annex 3.

- There are 3 different versions of the Draft Memorandum and Articles of Association respectively Annex 1, Annex 2 and Annex 3. The main differences are to Clauses 36 and 37 dealing with the terms of office of the Executive Committee.
- Annex 1 follows most closely to the existing Constitution. However, there is a risk that
- if no eligible person puts himself/herself up for election and the existing office bearers have already served 4 consecutive terms, there will be no one to take up such posts (Clause 36);
- if the President has served 4 consecutive terms AND no incumbent Vice-President puts himself/herself up for election as President, the Association (company) will have No President.
- Annex 2 provides the most flexibility,
- providing that if special circumstances deem necessary and sanctioned by the General Meeting, the office bearers may be re-elected notwithstanding having already served 4 consecutive terms;
- providing that the President can be elected from other Exco members if no eligible Vice-President puts himself/herself up for election as President.
- Annex 3 is drafted after comments received from members who perceive a need for an option half-way between the options at Annex 1 and Annex 2 :
- Office Bearers shall not remain in office for more than 4 consecutive terms;
- The President shall not remain in office for more than 2 consecutive terms;
- The President can be elected from existing Exco members, or Past Presidents and Past Vice Presidents.
- If no existing Exco member, Past President or Past Vice-President offers himself/herself up for election as President and the President has already served 2 consecutive terms, the post of President is opened up for election from amongst all members.

- A dinner will be held at the Restaurant after the EGM. Please contact Robert Pang as above if you wish to stay for dinner. (Cost of dinner will be shared by the participants)
